CLIENT (recipient parent) acknowledges that RAMA Agency , Inc., dba Beacon Hills Egg Donation (here in after referred to as RAMA), develops and maintains proprietary websites and databases for an egg donor agency program.
CLIENT desires to obtain the benefits of RAMA's egg donor agency program through CLIENT'S continued access of this program.
WHEREFORE, CLIENT assumes the responsibility for the selection of the egg donor from RAMA owned web sites in order to achieve the intended results of selecting an egg donor; and
WHEREFORE, RAMA warrants that the website shall be in accordance with generally accepted industry practices and standards, as well as codes and regulations existing at the time of installation. Please note that RAMA utilizes cookies so that the website can remember who you are and your Donor preferences and, by CLIENT’S use of the website, CLIENT specifically consents to use the cookies for this limited purpose.
Therefore, CLIENT agrees to abide by the following terms and conditions of use.
ARTICLE TWO: Upon RAMA'S reasonable request, CLIENT shall provide RAMA with written confirmation that CLIENT is using the web sites for the intended use of selecting an egg donor.
ARTICLE THREE: The RAMA logo, the Beacon Hills Egg Donation logo, the LGBT Egg Donation logo and their respective product name, software code, documentation, and any other support materials are either copyrighted, trademarked, licensed to, or owned by RAMA. CLIENT agrees not to remove any product identification, copyright notices, or any other notices of proprietary restrictions from any products furnished to CLIENT by RAMA. All techniques, algorithms, and processes contained therein, and/or any modifications or extractions thereof are the valuable property of, and are solely owned by, RAMA. CLIENT agrees not to copy any portion of the web sites for commercial purposes, for any other form of exploitation, or for any breach of confidentiality regarding donor privacy as discussed herein.
ARTICLE FOUR: In the event that CLIENT violates any of the terms and conditions of this Agreement, then in addition to any and all other remedies available to RAMA in law or in equity, RAMA may also immediately terminate this Agreement upon written notice to CLIENT. Upon such termination, CLIENT shall lose the right to access any and all web sites operated by RAMA; shall erase all other information received in any form from all available storage media, and shall certify in writing, under penalty of perjury, that the CLIENT has not retained any copies thereof of any RAMA related documents or any other items. This provision, to protect RAMA from any unauthorized use, application, or dissemination, shall remain in full force and effect, notwithstanding the termination of this Agreement.
ARTICLE FIVE: RAMA agrees to use their best efforts to protect the identity of CLIENT and the participation by CLIENT in the subject egg donor program of RAMA. CLIENT agrees to use CLIENT'S best efforts to protect the identity of the egg donor to ensure that the egg donor's participation is also not made public. CLIENT further agrees that any activity deemed to be an invasion of privacy, or deemed to be a disclosure of confidentiality, of the egg donor, shall be a breach of this Agreement and shall form the basis of a civil action for provable damages. Notwithstanding anything to the contrary set forth herein, RAMA shall be permitted to disclose all identifying information, medical records, and/or any other pertinent facts to appropriate professionals retained by CLIENT in order to facilitate the subject egg retrieval.
ARTICLE SIX: RAMA and CLIENT agree that except as expressly provided in this Agreement, neither RAMA nor CLIENT will provide, nor allow any third party to provide any information to the public, to news media, to social media, or to any individual other than to immediate family, regarding the specifics of the egg donor transaction, including but not limited to, the involvement in egg donation of any party, or the actual identity of any party, directly or indirectly, without the express written permission and executed consent of RAMA and of CLIENT.
ARTICLE SEVEN: CLIENT understands and agrees that RAMA is neither being retained nor will RAMA act in any medical, psychological, genetic, or legal capacity in the egg donor process. CLIENT is solely responsible to retain licensed professionals who shall in turn, be responsible for all medical and legal services necessary in connection with the egg donation process. RAMA makes no representations, warranties, or recommendations regarding any medical or legal professionals who are consulted by, or who are retained by, CLIENT. RAMA is further not responsible in any manner for any direct or consequential losses arising from the reports or from any other opinions, findings, or conclusions of these professionals. It being the intent of CLIENT and of RAMA that any such medical, psychological, genetic, or legal professional will originate solely from the relationship between CLIENT and such professionals and not be a part of this Agreement.
In a traditional cycle, one recipient is matched with one donor for one cycle. If a successful pregnancy is not achieved and all normal embryos have been used, the recipient is eligible for a second cycle with no agency fee.
In a shared cycle, two or more recipients will share eggs from one cycle with one donor at one clinic. Each recipient pays an agency fee and legal fees. Shared expenses include donor fee, donor insurance, and donor travel (if applicable). Medical expenses are determined by the clinic. This option is not subject to our free rematch policy unless specifically outlined in the agency agreement.
We work with some clinics that offer frozen eggs. The donor choices are limited. If you are interested in frozen eggs, please contact us. This option is not subject to our free rematch policy.
